1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Gmail Migration Studio ("we," "us," or "our") regarding our professional email migration services ("Services").

By engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

2. Description of Services

Gmail Migration Studio provides professional email migration services. We are not selling or licensing software to you.

2.1 What We Provide

• Professional migration of email data from MBOX files to Gmail
• Label creation and organization matching your original structure
• Message preservation including dates, headers, and attachments
• Migration progress tracking and reporting
• Post-migration support and verification

2.2 How It Works

• You provide MBOX file(s) containing emails to be migrated
• You grant temporary OAuth access to your Gmail account
• We process your MBOX files on our systems (not yours)
• We upload messages directly to your Gmail account
• We provide migration reports and statistics
• You review and confirm successful migration

2.3 What We Do NOT Provide

• Downloadable software or applications
• Software licenses or installations on your systems
• Source code or proprietary tools
• Ongoing email hosting or storage

3. Client Responsibilities

3.1 MBOX Files

You are responsible for:

• Providing valid, accessible MBOX files for migration
• Ensuring you have legal rights to the email data being migrated
• Verifying MBOX files are not corrupted or password-protected
• Maintaining backup copies of your original MBOX files

3.2 Gmail Account

You must:

• Have a valid Gmail or Google Workspace account
• Have administrative access to grant OAuth permissions
• Have sufficient Gmail storage for migrated messages
• Comply with Google's Terms of Service and Acceptable Use Policy

3.3 Authorization

You authorize us to:

• Access and process your MBOX files
• Create labels in your Gmail account
• Upload messages to your Gmail account
• Generate reports about the migration

4. Our Responsibilities

4.1 Service Delivery

We will:

• Process your migration with professional care and expertise
• Use industry-standard security practices
• Preserve message integrity, dates, and labels where possible
• Provide progress updates and final migration reports
• Delete your MBOX files after confirmed successful migration

4.2 Data Handling

We commit to:

• Processing your data only for migration purposes
• Not sharing your data with third parties
• Deleting MBOX files after migration completion
• Retaining migration reports for 365 days for support purposes
• Securely deleting all data upon request

5. Service Limitations

5.1 Gmail API Limitations

Our Services are subject to:

• Google Gmail API rate limits and quotas
• Gmail storage limits on your account
• Gmail's acceptable use policies
• Temporary service interruptions from Google

5.2 Technical Limitations

We cannot guarantee:

• Migration of corrupt or malformed MBOX files
• Preservation of all message attributes (some metadata may be lost)
• Specific migration completion timeframes (depends on data volume)
• Migration of messages that violate Gmail's content policies

6. Data Retention and Deletion

6.1 MBOX Files

• Retained only during active migration process
• Deleted immediately after you confirm successful migration
• If no confirmation received, deleted within 30 days
• Can be deleted earlier upon your request

6.2 Migration Reports

• Retained for 365 days for support purposes
• Contain statistics and metadata only (not email content)
• Automatically deleted after 365 days
• Available for download during retention period

6.3 Immediate Deletion Requests

You may request deletion of your data at any time by contacting [email protected]. We will delete:

• MBOX files within 24 hours
• Migration reports within 7 business days
• OAuth tokens immediately

7. Intellectual Property

7.1 Our Property

Gmail Migration Studio and all associated tools, software, processes, and methodologies are our exclusive property. You receive no rights or licenses to our proprietary technology.

7.2 Your Content

You retain all rights to your email content. We claim no ownership over your data and use it solely to perform the migration services.

8. Confidentiality

We treat your email data as confidential information and will:

• Not disclose content to third parties
• Use data only for migration purposes
• Restrict access to authorized personnel only
• Maintain confidentiality after service completion

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that we will:

• Perform services in a professional, workmanlike manner
• Use reasonable efforts to preserve data integrity
• Follow industry-standard security practices

9.2 Disclaimer

EXCEPT AS EXPRESSLY STATED ABOVE, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We specifically disclaim:

• Guarantees of 100% data preservation
• Warranties regarding migration speed or timing
• Guarantees regarding Gmail API availability
• Warranties that migration will meet all your expectations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the fees you paid for the specific migration service
• We are not liable for indirect, incidental, special, or consequential damages
• We are not liable for data loss if you did not maintain backups
• We are not liable for Gmail account issues, suspensions, or quota problems
• We are not liable for damages caused by your MBOX files being corrupt or incomplete

11. Indemnification

You agree to indemnify and hold us harmless from any claims arising from:

• Your breach of these Terms
• Your violation of applicable laws or regulations
• Your lack of rights to the email data being migrated
• Your violation of third-party rights
• Content of your email data

12. Termination

12.1 By You

You may cancel services before migration begins for a full refund. Once migration has started, fees are non-refundable unless we cannot complete the migration.

12.2 By Us

We may terminate services if:

• You breach these Terms
• Your MBOX files contain illegal content
• You fail to provide necessary access or information
• Migration is technically impossible

12.3 Effect of Termination

Upon termination:

• We will delete your MBOX files within 24 hours
• Outstanding fees remain due
• You may request any available migration reports
• Our confidentiality obligations continue

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

13.2 Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law provisions.

13.3 Severability

If any provision is found invalid, the remaining provisions remain in effect.

13.4 No Waiver

Our failure to enforce any right does not constitute a waiver of that right.
